We have learned about Robert’s Rules of Order, board governance, the fiduciary duty of a director, board training, and the various types of boards we may encounter. We have also talked about the necessary insurance that boards require in order to protect their directors from unforeseen situations. But what if, even after all the proper precautions have been taken, the board finds itself facing a disaster of unimaginable measures? This happened to an organization I was serving quite some years ago and the horror still lingers with each director who was on that board at the time.

The situation was that we had one key staff member quit in a fury. This person was thereby unwilling to share knowledge about the organization contained in her head and removed precious files to which we could no longer gain access. Immediately following this unfortunate event, the sole remaining staff person quit in protest of our perceived mishandling of the situation and our national five-hundred-member organization was left without any staff to serve it. We were facing a disastrous situation without any plan of action — and without access to our national office and all the essential information it contained about our organizational history and operations. What could we have done differently to have better dealt with, or perhaps prevented, the unfortunate situation entirely?
